Terms of Service

1. Acceptance of Terms

By accessing and using Klara (the "Service"), you accept and agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, please do not use the Service.

2. Description of Service

Klara is an Eisenhower Matrix task management application that helps you prioritize and organize your tasks based on importance and urgency.

2.1 Free Tier

The Free tier provides access to core task management features including unlimited tasks, cloud synchronization, recurring tasks, up to 3 projects, and collaboration with up to 5 members per project.

2.2 Pro Tier

The Pro tier includes all Free tier features plus unlimited projects, up to 50 collaborators per project, custom date picker, postpone tasks, and GitHub integration. Subscriptions are available on a monthly or annual billing cycle. Current pricing is available at klara.do/pricing.

3. Account Registration

You can create an account using Google OAuth, GitHub OAuth, email and password, or passwordless authentication. You must provide accurate and complete information when creating an account. You are responsible for maintaining the security of your account credentials.

You are responsible for all activities that occur under your account. Notify us immediately of any unauthorized use of your account.

4. Payment Terms

Paid subscriptions are billed at the interval you select (monthly or annual). Current pricing is available at klara.do/pricing. Payment processing is handled securely by Stripe. By subscribing, you authorize us to charge your payment method at the selected billing interval until you cancel.

4.1 Cancellation

You may cancel your subscription at any time through your account settings or the Stripe billing portal. Cancellations take effect at the end of the current billing period. No refunds are provided for partial billing periods.

4.2 Failed Payments

If payment fails, your subscription will be marked as past due. We will attempt to collect payment for up to 3 billing cycles. After multiple failed payment attempts, your account will be automatically downgraded to the Free tier. You can reactivate your subscription at any time by updating your payment method.

4.3 Price Changes

We reserve the right to change subscription prices with at least 30 days advance notice. Existing subscribers will be notified via email and can choose to cancel before the new price takes effect.

5. Data and Privacy

We store and process your data as described in our Privacy Policy.

Free tier users store data locally on their devices using IndexedDB. We do not have access to this data.

Pro tier users' data is stored securely on Supabase servers (EU region) with encryption in transit (HTTPS) and at rest.

You retain all rights to your task data. We claim no ownership over your content.

6. Acceptable Use

You agree not to:

  • Use the Service for any illegal purpose or in violation of any local, state, national, or international law
  • Attempt to gain unauthorized access to the Service, user accounts, or computer systems
  • Interfere with or disrupt the Service or servers/networks connected to the Service
  • Share your account credentials with others or allow others to access your account
  • Invite users to shared projects without their consent or share access with unauthorized parties
  • Use the Service to transmit viruses, malware, or other harmful code
  • Attempt to reverse engineer, decompile, or disassemble any part of the Service
  • Use automated systems (bots, scrapers) to access the Service without our permission
  • Violate the intellectual property rights of Klara or any third party

7. Intellectual Property

The Service and its original content, features, and functionality are owned by Klara and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable license to access and use the Service for your personal or internal business purposes, subject to these Terms.

8. Termination

You may delete your account at any time through the User Menu. Active subscriptions are automatically cancelled upon account deletion.

We reserve the right to suspend or terminate your account if you violate these Terms or engage in fraudulent, abusive, or illegal activity.

Upon termination, your right to use the Service will immediately cease. Your account and data will be permanently deleted immediately. Shared projects you created with active collaborators will be transferred to another member. Projects you own without collaborators will be deleted. You will be removed from shared projects you were invited to.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or completely secure. We do not guarantee the accuracy, reliability, or completeness of any content or data provided through the Service.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KLARA♥ SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Our total liability to you for all claims arising from or related to the Service shall not exceed the amount you paid us in the 12 months prior to the claim, or 100 SEK if you are a Free tier user.

11. Indemnification

You agree to indemnify, defend, and hold harmless Klara, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses, including reasonable attorney fees, arising out of or in any way connected with your use of the Service or violation of these Terms.

12. Data Loss and Backups

While we implement industry-standard security measures and backup procedures for cloud data, we are not responsible for data loss due to factors beyond our reasonable control.

We strongly recommend that you regularly export your tasks using the app's export feature as an additional backup, regardless of your subscription tier.

13. Modifications to Service

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuance of the Service.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of significant changes via email or in-app notification at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the modified Terms.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Sweden, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved in the courts of Sweden.

16. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect. The invalid provision will be modified to the minimum extent necessary to make it valid and enforceable.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Klara regarding the Service and supersede all prior agreements and understandings, whether written or oral.
